A New Joint Venture Emerges

According to the Financial Times, OpenAI is forming a new joint venture called DeployCo with several private equity firms to accelerate the deployment of OpenAI’s tools in the enterprise market. DeployCo is registered as a Delaware LLC and is expected to complete its first funding round in early May 2026, with a post-money valuation potentially reaching $10 billion.

OpenAI will initially invest $500 million in equity, with total commitments up to $1.5 billion. Participating PE firms include TPG, Bain Capital, Advent International, Brookfield, and Australia’s Goanna Capital, collectively committing approximately $4 billion.

Deal Structure and Intent

The structure is noteworthy: OpenAI is not directly selling to enterprise customers, but rather using a PE-controlled joint venture as a “channel layer.” PE firms manage large portfolios of companies, and DeployCo can deploy OpenAI’s tools (ChatGPT Enterprise, API, etc.) across these portfolios at scale.

In essence, DeployCo is an “AI deployment accelerator”: it doesn’t need to acquire customers from scratch but leverages PE firms’ existing corporate networks for rapid penetration across hundreds or thousands of enterprises.
